The following Terms and Conditions are in reference to all content of the current website, carrying the domain name “www.meeting.com.mt”. For the purposes of the Agreement as specified below and outlining the terms and conditions, the aforementioned domain shall be referred to as “the Website”. “Meeting” is the collection of Services accessible through the domain referred to above and intended to enhance social interaction between individuals via the internet. Any of the services provided by Meeting, be they offered against compensation or unpaid for, will hereunder be referred to as “Services”. The use of the word “Member” in this Agreement will always be in reference to any individual, be he/she a registered member with Meeting or not, making use of the Website or any of the Services provided by the Website, be these paid for or not. Both the terms “Agreement” and “Terms and Conditions” refer to this contract. Meeting, referring to the domain name “www.meeting.com.mt”, is the sole property of Code Design. The terms Code Design and Meeting may be used interchangeably for the purposes of the present Agreement and both terms denote ownership of the domain and all related content as belonging to Code Design.

You are requested to read carefully the Terms and Conditions as explained in this section. If you are in disagreement with any part of the terms and conditions as described in this Agreement do not make use of the Website or register with the Website. Registration with or use of the Website and/or any of the Services offered will automatically indicate full and complete acceptance of the Terms and Conditions on your part. During the New User Activation process, checking the box situated on the Registration page next to the words “I certify that I am at least 18 years of age and have read, understood and fully acknowledged the Meeting Terms and Conditions” implies acknowledgement and full acceptance of this Agreement.

This Agreement is subject to change by Code Design. Changes can be performed anytime and at the sole discretion of Code Design without any prior notice. For a clear indication of the date this Agreement was last revised please consult the appropriate section in this same Agreement. Use of the Website and the Services provided after amendment of the terms and conditions as illustrated in this Agreement implies acceptance of any revisions made to this Agreement.

1. Access and Eligibility

The Website and the Services offered are intended for use in Malta. Registration and use of the Website or Services as provided by Meeting may not be allowed where laws of your particular jurisdiction prohibit it.

You must be at least 18 years of age to make use of Meeting and complete the registration process. If the age of majority is not 18 but older in your jurisdiction you must see that you abide by the laws as described in your jurisdiction with regards to age of majority.

You agree to immediately report any misuse of the Website or violations of this Agreement to Meeting should you become aware of any such irregularities.

All equipment necessary and any costs incurred for the full or partial use of the Website and the Services provided is to be the responsibility of the Member making use of this Website.

Registration to and/or use of the Website implies full acceptance of the terms and conditions as illustrated in this Agreement. The use of Meeting is completely free of charge for all Members complying with this Agreement.

On registering to become a Member of the Website you are assigned one username and one password. These are strictly confidential and should not be made available to third parties. You will hold full responsibility for actions undertaken by third parties sharing your identifier username and password. If such actions are considered contrary to the purposes of the Website or damaging in some form or another, Code Design reserves the right to take remedial action against the Member to whom the identifier username and password were assigned in any way it deems appropriate.

If you have sufficient reason to believe that third party individuals are having access to your account you should immediately inform Meeting about this. You acknowledge that Code Design will not be held responsible for any access to your account by third parties.

The sole reason for which you will become a Member with Meeting is to have genuine and honest interaction with other individuals making use of the Website and its Services. No other reason is valid as this goes against the purpose of the Website and damages the integrity of Meeting.

Referral of individuals to Meeting by an existing Member or not, via the available features of the Website, should be performed after prior consent for the use of contact information related to the individual being referred has been granted beforehand. Code Design will only make use of the contact details provided to inform the individual being referred about the Website and the Services provided via electronic mail. The information supplied to Code Design for this purpose is submitted voluntarily and will be the sole responsibility of the individual that has supplied the contact details.

2. Content and Interaction

You assume all liability and responsibility regarding content and information submitted on the Website pages be it related to personal data or not and taking any form. Whatever information is transmitted published and in any way made available through the use of Services provided by the Website is solely your responsibility.

Whilst not holding itself obliged to do so, Code Design reserves the right to monitor and, if necessary, remove any form of content displayed on the Website if it so deems, at its sole discretion, that such content is in violation of this Agreement or any other regulation or law it deems appropriate, or if so is requested by third party individuals.

All form of content submitted to the Meeting pages must strictly abide to the regulations elucidated in this Agreement. You will not make available, transmit, communicate or publish any content, or engage in any form of activity through the Website and its Services, that:

- facilitates, instigates or promotes unlawful or illegal activity such as, but not limited to, obtaining another Member’s personal information and contact details resulting in the violation of the Member’s privacy, cause any form of harm to another Member, harass another Member, eluding copyright laws, the acquisition or attainment of illegal substances or arms, the creation and dissemination of computer viruses or other such disruptive and harmful codes that procure damage, both directly or indirectly, to other individuals’ property;

- leads to or is intended to lead to pestering, harassment, intimidation or threatening of Members of the Website, or in any way interferes with other Members’ satisfaction with the Website;

- exposes content produced by others and is protected by copyright laws without obtaining prior consent for publication by the creators of the content being published in the Website pages;

- exposes information about another individual without having obtained prior consent;

- exposes images of another individual without having obtained prior consent from the individual being portrayed, or from his/her legal guardian in case the individual seen in the images is below 18 years of age, or equivalent age of majority in his/her jurisdiction;

- instigates the use of force, hatred, racism or any other form of prejudice against a group of individuals or an individual;

- is profane, obscene, fallacious, incorrect, inaccurate; offensive, abusive or otherwise objectionable

- indulges in collection of information about or solicits anyone under the age of 18 years;

- indulges in collection of or solicits information about other users of the Website intended for commercial or unlawful purposes;

- is intended to deceive, swindle or defraud other users of the Website;

- solicits involvement and/or support of any cult, religious or political entity;

- promote or solicit gambling or other such activities;

- misrepresents association, connection and/or affiliation with any individual or entity;

- make use of the Website and/or the Services provided by the Website for dissemination of junk mail, chain letters or other such spam mail;

- makes use of scripts, bots or other automated technology to access the Website or any of the Services provided;

- is in any way connected, both directly or indirectly, to activities of trolling, spamming, phishing, spimming or similar activities;

- contains disrupting and harmful codes or devices such as, but not limited to, Trojan viruses, worms, cancel bots, time bombs, spyware and viruses;

At no point will you make use of Meeting or any of the Services offered to advertise any form of business venture, be this for purposes of financial gain or not, or to promote and solicit purchase or acquisition of any form of service or product. Additionally, you will not make use of any form of information and data obtained through the use of the Website or its Services in order to contact members with the intent of promoting any form of business, be this for purposes of financial gain or not, or to solicit purchase of any form of service or product by other Members of Meeting. The use of any form of information and data obtained through the use of the Website or its Services for purposes of dissemination of junk mail, chain letters or other such spam mail is also prohibited. You recognize that such actions harm the reputation of Code Design and the Services it offers and agree to pay for such damages a fee as quantified and decided by Code Design according to its sole discretion.

Code Design will reserve the right to create as many drone profiles as is necessary to monitor and test the operation of the Website and its Services. These procedures are carried out to ensure that high levels of security and quality are maintained throughout.

You are deemed liable for all forms of interaction with other Members registered with the Website. When making use of the Services provided by Code Design you acknowledge all risks that might be involved with, and agree to take full responsibility of, any form of interaction with other Members of this website including any form of both online and offline interaction.

3. Proprietary Rights

All content and information posted on the Website by any user of the Website and its Services automatically grants to Code Design, and conjunctly declares the user posting the content to be in representation of or holding the right to grant such information, a non-excusive, perpetual, worldwide, fully paid and irrevocable license to publicly distribute and display, make use of, reproduce and include into other works such content and information. Authority to issue sublicenses with regards to such content and information is also granted to Code Design.

You grant authority to Code Design to modify any content uploaded by yourself on the Website pages or through utilization of the Services, as deemed appropriate and at the sole discretion of Code Design, be this for technical reasons, compatibility purposes or as required by Code Design.

You will not modify, disseminate, reproduce, publish, disclose or make any other use of content visible on any of the Website pages if such content was not posted to the Website pages by yourself in the first place, in accordance with the Content and Interaction section in these Terms and Conditions.

You will not modify, disseminate, reproduce, publish, disclose in any form whatsoever, or make any other use of logos, brand names, ideas, photos, animations, pictures, graphics, texts, Services or registered trademarks found in any of the pages of the Website. This refers to all forms of content be it the intellectual property of Code Design or of other third parties collaborating with Code Design.

You agree and acknowledge that Code Design holds sole proprietary rights over all the Website content and the Services it provides including ideas as expressed in the Website pages and any form of derivative work closely inspired by information and content of the Website.

4. Members’ Privacy

On registration Code Design requires you to supply personal information about yourself. This information includes, but is not limited to, your name, surname, e-mail address, physical appearance, personality, personal interests, personal values, photographs and other such data. Additionally, other technical non-personal data is also collected by Code Design whilst making use of the Website and the Services offered. All forms of personal information gathered is accessible by a restricted number of Code Design personnel. Rigorous standards are upheld by Code Design with regards to the privacy of Members registered with the Website. Personal information is handled with care.

You will not make public on any of the Website pages any e-mail address, website address, fixed line telephone numbers, fax numbers, mobile numbers, postal addresses, or other such personal or private entity contact details. You will also not publish any link to any other website containing such data. By checking the ‘Yes’ button next to the question “Would you like your name and surname to be viewed by other members of Meeting? If you choose no, only your username will be visible” you voluntarily agree to let other Members identify you by your name and surname. Revelation to other Members of the name and surname is optional and the decision can be altered anytime by accessing the Profile page and clicking the “Edit Profile” button.

You will hold full responsibility for any form of content expressing personal information about yourself which you publish, post or transmit on the Website. You acknowledge and agree that this content can be made use of by Code Design for purposes of research intended to compile information related to activities such as, but not limited to, improving the Services offered, gather data deemed of socio-demographic value, guaranteeing security and quality. In the occurrence of socio-demographic data being shared with third parties anonymity of the Members will be guaranteed. At all times information about a Member can be erased or modified if so requested by the Member with whom the content in question is related.

The Meeting newsletter or any other e-mail, which is sent officially by Meeting, detailing offers and promotions related to Code Design and/or any of the third party affiliates of Code Design are optional. A Member can at any point request Meeting to opt out of receiving these offers. On registering with the Website all users are given the option to either have the newsletter sent to the e-mail address supplied or else decline subscription.

You agree that, if so required by law or at its sole discretion, Code Design is entitled to disclose personal information submitted by yourself on any of the pages or Services of the Website at any point in time if there is enough reason to believe that such action is in accordance with the law, will be helpful in the prevention of harm to any user or Member of Meeting, will be able to prevent any abuse or suspected abuse of any user or Member of Meeting, or allows direct or indirect aid to processes related to defence of the property and rights of the Website.

5. Obligations

Code Design is not involved in supplying internet service or any other form of electronic communication means to its Members. Code Design will therefore not be held in obligation of monitoring the identity of users and Members or any of the content posted on the Website pages by users or Members. Code Design cannot be held liable for improper, vulgar, obscene or in any other way inappropriate content, violating the rights of other Members, non-Members or other social groups and third parties, that is published on the Website pages by any of its Members. Code Design also declines responsibility for inaccurate or untrue information published on the Website pages by any of its Members. Members take full responsibility for whatever content is posted on any of the Website pages and for offline meetings between Members as a consequence, be it direct or indirect, of the use of the Website and/or any of the Services provided.

You oblige yourself to comply with all Terms and Conditions as stipulated in this Agreement. You will commit to proper behavior that is in conformity with ethical standards and norms and acknowledge that failure to do so may result in any of remedial action being taken without limitations by Code Design.

6. Advertising Deals and Site Links

All third party site links found on the Website, be they in relation to advertising deals with Code Design or not, direct the Member to sites that are not under the control of Code Design. As such Code Design declines responsibility for any content that may be found within such third party sites. In no case shall the presence of a third party site link on the Website indicate agreement with or endorsement of the content found on such sites, by Code Design. Any form of transaction, participation or correspondence, including agreement to other dealings, terms, conditions, liabilities and warranties, taking place between a Member and any of the third party entities having links on the Website is solely between the Member and the advertiser or sponsor holding a link on the Website. You acknowledge and agree that any form of damage incurred resulting directly or indirectly from interaction with any such third party entities is not the responsibility of Code Design.

7. Liability and Disclaimer of Warranty

All necessary components, be they related to software or hardware, that are required for proper functioning of the Website and its Services are to be made available by the Member. The Member must also be in possession of the necessary skills and services, such as but not limited to, an functional internet connection and telecommunications service. Code Design will not guarantee proper functionality of the Website or the Services provided if any such parameter is not secured. The Website has not been constructed to provide compatibility with Apple Mackintosh computers. Browser compatibility is guaranteed only with Microsoft Internet Explorer 6.0 or newer. As such use of any other browser or use of Apple Mackintosh as hardware may result in partial or total non-functionality of the Website or the Services provided.

Code Design shall reserve the right to perform checking and testing procedures that may momentarily, but for a non-defined time period, result in complete or partial suspension of the Website and/or Services. Such occurrences may be communicated to the Members but Code Design does not bind itself to do so. Code Design does not guarantee that defects in performance of the Website and the Services will be corrected and that security can be warranted at all times. The Website and Services are presented on an ‘as available’ and an ‘as is’ basis and therefore, in this respect, makes no assurances of any kind, be they statutory, expressed or implied. This disclaimer of warranty incorporates any form of implied warranty related to good condition or merchantability.

Code Design cannot be held liable for improper, vulgar, obscene or in any other way inappropriate content, violating the rights of other Members, non-Members or other social groups and third parties, that is published on the Website pages by any of its Members. Code Design also declines responsibility for inaccurate or untrue information published on the Website pages by any of its Members. Members take full responsibility for whatever content is posted on any of the Website pages. Such content is submitted and published on the Website pages voluntarily. Therefore, any resulting harm and damage inflicted to the Member’s reputation, image and/or privacy as a consequence of having submitted information onto the pages of the Website or via use of the Services available will not be the responsibility of Code Design.

Code Design will not be held liable for any form of damages, be they direct or indirect, suffered by any Member if this Member was at any point in time not behaving in agreement with these Terms and Conditions when making use of the Website and/or its Services. Damage, including, but not limited to, psychological distress or physical injury, resulting directly or indirectly from use, be this correct or improper, or inability of use of the Website or any of the Services made available will not be the responsibility of Code Design. The damages referred to also include those that may possibly be incurred in relation to offline meetings with any other Member of the Website. Since Code Design does not monitor the identity of its Members this disclaimer of liability incorporates also damages that may result from Members who register using untrue information and deliberately try to cause you harm or damage in any form.

You agree to hold harmless and indemnify Code Design for any costs, damages and liabilities resulting from:

- your violation of these Terms and Conditions; and/or

- your violation of laws and any applicable regulations; and/or

- content posted by yourself onto the Website or via use of any of the Services made available; and/or

- your use, be this correct or improper, or inability of use of the Website or any of the Services made available

8. Termination

Termination of a Profile can be requested by a registered Member at any time via e-mail contact with Meeting. The request can only be accepted if done by the Member holding the Profile. Acceptance of termination is carried out only once all the necessary data and personal information have been verified to a satisfactory extent as deemed appropriate by Code Design. Termination of a Member’s Profile by Code Design can be executed anytime and for any reason without the need for Code Design to provide a reason for its actions. Such activity will usually, but not necessarily, be carried out if the particular Member has been in violation of any part of this Agreement.

This Agreement was revised on the 14th of February of the year 2009.

These Terms and Conditions are protected by copyright laws. They are the intellectual property of Code Design and therefore any form of exploitation, reproduction or other use of these Terms and Conditions, be it for financial gain or not, infringes the law. Code Design will see that any agent of any form of illegal exploitation of these Terms and Conditions is prosecuted.
